The Federal Bank Ltd (NSE: FEDERALBNK) – Stock Analysis
Kerala-headquartered private-sector bank – retail, commercial and corporate banking with a large NRI deposit franchise, gold loans, and subsidiaries in NBFC lending and life insurance
The Federal Bank Ltd (NSE: FEDERALBNK) is a Kerala-headquartered private-sector bank that has turned in its highest-ever quarterly profit while asset quality sits at decade-best levels. This stock analysis tests the Federal Bank share price target debate with a residual-income DCF, relative valuation, NAV, EPV and SOTP. At a CMP of ₹346, the Weighted Fair Value works out to about ₹295 per share, after adjusting for recent news and market sentiment.
Business Overview
Federal Bank, founded in 1931 and headquartered in Aluva, Kerala, lends to retail, commercial and corporate customers through 1,662 banking outlets. Its deposit franchise leans on non-resident (NR) money: NR deposits and CASA balances each crossed ₹1 lakh crore in Q4 FY26, and CASA stood at ₹1,09,803 crore (32.04% of deposits) at September 2026. The bank also owns a stake in Fedfina (an NBFC) and a joint venture, Ageas Federal Life Insurance.
The story has shifted from a regional lender to a growth-and-returns compounder under MD & CEO KVS Manian: advances grew 21.7% year on year in Q2 FY27, net interest income outpaced loan growth, fee income rose about 32%, and the bank is adding branches and an in-house wealth platform. Two inorganic threads matter for valuation – the proposed purchase of part of Standard Chartered’s retail credit card book, and press reports of talks to acquire Jana Small Finance Bank, which the bank has said involve no material event requiring disclosure.

Profit growth has accelerated from low single digits in FY26 to above 36% in H1 FY27 as margins recovered, deposit costs fell (cost of deposits 5.18%, down 39 bps YoY) and credit cost eased to 0.31%. Q4 FY26 margins of 3.74% were flattered by about ₹457 crore of interest on an income-tax refund, so Q2 FY27’s clean 3.32% is the better run-rate anchor.

DCF Valuation
10-Year Residual-Income DCF – cost of equity 12%, terminal growth 5%
A bank’s debt is its raw material, so a free-cash-flow-to-firm DCF does not apply. This section values the equity as opening net worth plus the present value of profit earned above a 12% charge on equity. PAT is projected from about ₹5,450 crore in FY27E to ₹18,500 crore by FY36E on 18–20% loan growth that fades, with ROE peaking near 15.7% and 8% of profit paid out.
| Year | Opening net worth | PAT | ROE | Residual income | PV @12% |
|---|---|---|---|---|---|
| FY27E | 40,043 | 5,450 | 13.6% | 645 | 576 |
| FY28E | 45,057 | 6,500 | 14.4% | 1,093 | 871 |
| FY29E | 51,037 | 7,700 | 15.1% | 1,576 | 1,121 |
| FY30E | 58,121 | 9,000 | 15.5% | 2,025 | 1,287 |
| FY31E | 66,401 | 10,400 | 15.7% | 2,432 | 1,380 |
| FY32E | 75,969 | 11,900 | 15.7% | 2,784 | 1,410 |
| FY33E | 86,917 | 13,400 | 15.4% | 2,970 | 1,343 |
| FY34E | 99,245 | 15,000 | 15.1% | 3,091 | 1,248 |
| FY35E | 113,045 | 16,700 | 14.8% | 3,135 | 1,130 |

|---|---|
| Opening net worth (Mar 2026) | 40,043 |
| PV of 10-year residual income | 11,363 |

DCF sensitivity (₹ per share)
| Cost of equity \ terminal g | 4% | 5% | 6% |

| 12% | ₹260 | ₹268 | ₹279 |
| 13% | ₹216 | ₹219 | ₹223 |
Terminal value contributes about 23% of equity value, and the figure is highly sensitive to the discount rate because the stock earns only a modest spread over a 12% cost of equity. The 12% rate is the standing Zumedha default; brokers using lower discount rates or higher long-run ROE reach targets of ₹330–₹406, which the 11% row of the sensitivity table helps explain.
Relative Valuation & Peer Multiples
| Metric | At CMP | Reference band applied* | Implied value / share |
|---|---|---|---|
| P/E – FY27E EPS ₹22.0 | 15.7x | 16.0x | ₹353 |
| P/B – FY27E book value ₹182 | 1.90x | 1.8x | ₹328 |
| P/E – trailing 12 months (EPS ~₹19.7) | 17.6x | – | Cross-check only |
| P/B – Sep 2026 book value ₹166.32 | 2.08x | – | Cross-check only |
| Average of P/E and P/B | ₹340 |
Brokers value the bank at roughly 1.6x–1.7x FY28E adjusted book (JM Financial, Anand Rathi), which supports a 1.8x band on nearer-term FY27E book for a bank earning a 13–14% ROE with improving margins. The 16x P/E band is a mid-range assumption: larger private banks with ROEs above 14% trade near 17x trailing earnings, while mid-sized banks usually carry a discount. Federal’s ROE of about 13.6% still trails the largest private banks, which argues for a modest discount.
*Reference bands are analyst assumptions, not live peer quotes. Check current peer multiples (HDFC Bank, ICICI Bank, Axis Bank, AU Small Finance Bank) before relying on them. FY27E PAT of ₹5,450 crore is a Zumedha estimate.
Earnings Power Value (EPV)
| ₹ crore | Value |
|---|---|
| Run-rate PAT (Q2 FY27 × 4) | 5,544 |
| Less: credit-cost normalisation (0.19% extra on ~₹3.02 lakh cr, after tax) | –430 |
| Normalised PAT | 5,114 |
| EPV equity value at 12% | 42,617 |
| Shares (crore) | 247.3 |
| Per share | ₹172 |
EPV capitalises today’s normalised earnings at the cost of equity with zero growth. Current credit cost of 0.31% is below a through-cycle level of roughly 0.50%, so profit is trimmed before capitalising. Because Federal is growing loans above 20%, EPV understates the franchise and acts as a lower bound on earnings-based value.
Sum-of-the-Parts (SOTP)
| Segment | Basis | Equity value (₹ cr) |
|---|---|---|
| Core banking franchise | FY27E net worth ₹45,057 cr × 1.85x | 83,355 |
| Fedfina stake + Ageas Federal Life stake | Broker-style estimate of ₹20 per share | 4,946 |
| Equity value | 88,301 | |
| Shares (crore) | 247.3 | |
| Per share | ₹357 |
The SOTP values the banking franchise on price-to-book and adds the non-bank subsidiaries separately, following the convention used by Anand Rathi (which assigns about ₹20 per share to Fedfina and the life insurance JV). Because net worth already carries the subsidiaries at cost, a small overlap exists. Segment values are analyst estimates and should be revisited as subsidiary results are published.

News and sentiment overlay. Positives: record Q2 profit of ₹1,386 crore, gross and net NPAs at decade lows (1.32% / 0.17%), margin recovery to 3.32%, CASA at 32.04%, and a rise of about 4.7% to ₹353 intraday on 19 Oct after results, with brokers’ targets of ₹330–₹406 and a ten-broker average near ₹354. Negatives: persistent reports of a share-swap acquisition of Jana Small Finance Bank (press estimates ₹6,000–₹6,500 crore) which Citi and Anand Rathi flag as an integration and ROE-dilution risk, even though on 19 Oct the bank was reported to be not in active talks; dilution from Blackstone’s 27.3 crore warrants at ₹227; an insurance-distribution consultation paper that could affect fee income and Ageas Federal Life; and a price already near 2x book. Net adjustment: –1%.
Buy range
These zones are derived mechanically from the Weighted Fair Value of ₹295. At the reference CMP of ₹346 (28 Oct 2026), the stock sits above the fair-value zone, about 17% above the Fair Value.
Buy Scenario – Bear, Base and Bull
Bear case
₹235A Jana-style unsecured acquisition dilutes ROE, deposit competition lifts funding costs and credit cost normalises, compressing the multiple towards 1.4x–1.5x book.
Probability 25%Base case
₹315Loans grow around 20%, NIM edges up gradually, ROE moves toward 14% by FY29 and the stock holds roughly 1.7x forward book.
Probability 50%Bull case
₹395Fee income and CASA keep compounding, the Blackstone capital is deployed at high returns, and ROE near 15% earns a re-rating toward 2x book.
Probability 25%The probability-weighted value across the three cases is about ₹315 per share, against a CMP of ₹346.
Sell Range
The sell range marks levels at which the market price would be regarded as materially ahead of fundamentals. It is a valuation lens, not an instruction to transact. The current CMP of ₹346 lies in the lower part of the reduce zone.
Sell Scenario
Overvalued
₹327+Price more than 10% above Fair Value; the stock would be regarded as fully priced unless estimates are revised upward.
Exit trigger
₹384+A move this far above Fair Value would price in ROE of 15%+, steady NIM expansion and a smooth, accretive acquisition.
Structural break
₹207A spike in unsecured-loan stress, a sharp rise in credit cost or a deposit-franchise setback would damage the equity thesis.
Future Growth
| Driver | What it adds |
|---|---|
| Loan growth and mix | Advances +21.7% YoY to ₹3.02 lakh cr; shift to commercial banking, gold loans and CV/CE |
| Liability franchise | CASA ₹1.10 lakh cr (+22.6%); NR deposits above ₹1 lakh cr; cost of deposits down 39 bps YoY |
| Fee income | Record ₹1,168 cr in Q2 (+32%); in-house wealth platform now live |
| Branch network | 1,662 outlets; 39 added in Q4 FY26 and 12 in Q2 FY27 |
| Capital | Capital adequacy 16.84%; Blackstone warrants (₹6,196.5 cr) add equity on conversion |
| Inorganic options | Standard Chartered card book and possible Jana SFB deal – accretion depends on price and risk |
Management has indicated that margin improvement should be gradual rather than linear, and brokers expect RoE to climb toward 14% or more by FY29 as fee income scales and credit costs stay low. If that path holds, earnings could compound near 20% a year, which is the assumption behind the forward methods. Deposit competition and elevated investment in technology and distribution keep the cost-to-income ratio above 50% for now.
Risks & Catalysts
Catalysts
- Q3 FY27 results (due by mid-February 2027), which would show whether NIM holds near 3.3%
- Clarity on the Jana Small Finance Bank question and the pricing of any deal
- Conversion of Blackstone warrants and capital deployment
- Fee-income scale-up from the wealth platform and credit cards
Risks
- Acquisition of a high-yield unsecured lender could dilute ROE and raise credit cost
- Deposit-cost competition and a lower-rate cycle weighing on margin
- Warrant dilution of about 27 crore shares at ₹227
- Insurance distribution rules that could hit fee income
- Valuation near 2x book after a strong rally from the 52-week low of ₹228

Federal Bank has no promoter; ownership is spread across institutions, and domestic institutions hold about half the equity. Mutual funds rose from about 35.9% to 38.2% between March and December 2025. HDFC Mutual Fund was the largest fund-house holder at roughly 6.8% in March 2026, with Axis, SBI, HSBC and Kotak funds among other large fund-house holders, and Rekha Jhunjhunwala held about 2.4% at September 2026. On full conversion of its warrants Blackstone is set to become the largest shareholder at 9.99%.
A named top-10 holder table with percentages could not be sourced reliably, so it is omitted rather than estimated; June and September 2026 category figures also differed across sources. Scheme-wise and FPI-wise detail is available in the BSE/NSE shareholding filings; figures may lag the live quarter.
Final Summary
Final Summary
Valuation. The weighted analysis points to a Fair Value of about ₹295 per share against a CMP of ₹346, a premium of roughly 17%. Relative valuation (₹340) and SOTP (₹357) land near or above the market price, while the residual-income DCF (₹268) and EPV (₹172) at a 12% cost of equity sit well below it, which explains why brokers with lower discount rates reach ₹330–₹406.
Growth. The bank is compounding loans above 20% with a stronger CASA base, record fee income and decade-low NPAs. Return on equity moving from 13.6% toward 14% or more is the central driver, with the Jana SFB question and warrant dilution as the main swing factors.
What a reader may consider. On this analysis, the current price would be viewed as already discounting much of the improvement. A reader with a long horizon may monitor the ₹283–₹327 band as a fair-value area and track NIM, credit cost, CASA share and any acquisition terms. This is not investment advice.
